  • Acting for secured lender on the variation of the original facility agreement to preserve the original security and subsequent prepack administration and purchase of the software business of the borrower which was carried on through its subsidiaries
  • Acting for a company set up by a director of the debtor company on the acquisition of the business and assets of the debtor company’s butchers business by way of a pre pack administration
  • Acquisition of on online music download business by way of a pre pack administration
  • Advice to directors on a claim by the liquidator for a contribution to the liabilities of the debtor company

  • Advice in connection with the creditors voluntary liquidation of the UK subsidiary of a German fashion business

  • Advice to the purchaser of the assets from an administrator regarding the change of name of the debtor company following the failure of its shareholders to pass a resolution to change the name of the company. The Company Names Tribunal subsequently changed the name of the debtor company
  • Advice to directors regarding section 216 Insolvency Act 1986 and applications to court for permission for directors to be directors of a company with similar name to the company they had been directors of which had gone into insolvent liquidation
  • Acting for a company controlled by the directors of a holding company that gone into insolvent liquidation in connection with the purchase of the shares in the trading subsidiary of the holding company from the liquidator
  • Restructuring a company in connection with the demerger of one of its trading divisions which was hived down into a new subsidiary and sold to its management team and a management buy out of the non-management shareholders
  • Advice to directors on wrongful trading, transactions at an undervalue, preferences and directors duties
